Private Limited vs LLP vs OPC: Choosing the Right Business Structure in India
Published September 25, 2026 Β· By PPC Integrated Consultancy
One of the first decisions any founder makes is the legal structure of the business, and it shapes everything from compliance burden to how easily you can raise funding later.
Private Limited Company
A Private Limited Company offers limited liability, a separate legal identity, and is the structure most investors and venture funds prefer, since it allows equity issuance and structured ownership. It comes with the highest compliance requirements among the three, mandatory audits, board meetings, and annual filings.
Limited Liability Partnership (LLP)
An LLP combines limited liability with lower compliance than a private limited company, and no mandatory audit below a certain turnover threshold. It suits service businesses and professional partnerships well, but it’s a less familiar structure to equity investors, which can complicate fundraising later.
One Person Company (OPC)
An OPC is designed for solo founders who want limited liability without bringing in a co-founder, offering a middle ground between a sole proprietorship and a full private limited company, though it must convert to a private limited company once it crosses certain turnover or capital thresholds.
Which Structure Should You Choose?
If you plan to raise external funding or bring on co-founders with equity, a private limited company is almost always the right starting point. If you’re running a professional services business without fundraising plans, an LLP often makes more practical sense with lower ongoing compliance cost.
